5. VOTE TO AUTHORIZE APPOINTMENT OF EXECUTIVE DIRECTOR
Subject to a background check, the Massachusetts State College Building Authority (the “Authority”) hereby appoints XXXX to fill the role as executive director of the Authority, effective as of XXXX, to exercise all powers and directs that they undertake all duties and obligations of Executive Director as provided by law, the by-laws of the Authority and any resolution or other vote of the Authority, heretofore adopted, including but not limited to Chapter 703 of the Massachusetts Acts of 1963, as amended (the “Act”). The Chair of the Authority or such designee as the Chair shall determine, is authorized, and directed to enter into, on behalf of the Authority, a contract with XXXX to serve as an executive director of the Authority, upon the terms and conditions deemed appropriate by said Chair.
